Terms of Service

1. Acceptance of Terms
By accessing or using the Scantonomous platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. Scantonomous (“Company,” “we,” “us”) reserves the right to update these Terms at any time. We will notify customers by email before material changes take effect. Continued use of the Service after changes take effect constitutes acceptance.
2. Account Terms
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must be at least 18 years old to use the Service. You must notify us immediately of any unauthorized access.
3. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to other users’ accounts or data
- Interfere with or disrupt the Service or its underlying infrastructure
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to scan repositories or systems you do not have authorization to test
- Resell or redistribute access to the Service without permission
4. Intellectual Property
The Service, including all software, design, text, and graphics, is owned by Scantonomous and protected by intellectual property laws. Your code and data remain yours—we claim no ownership over content you submit to the Service for scanning. You grant us a limited license to process your content, including through our service providers and subprocessors, solely to provide, secure, maintain, and support the Service. This includes running scans, providing AI Scan features, generating findings and remediation guidance, preventing abuse, and troubleshooting the Service.
You represent that you have the rights and permissions needed to submit content to the Service and to authorize Scantonomous and its service providers to process that content as described in these Terms and our Privacy Policy.
5. Paid Plans, Billing, Renewal, and Refunds
Certain features of the Service require a paid subscription or a separate order form. If you purchase a paid plan for yourself or on behalf of an organization, you agree to pay all fees, taxes, and other charges described at checkout, in an order form, or in your account billing settings. Self-serve plans are billed in advance on a recurring monthly or annual basis, as selected at checkout. Enterprise plans are billed as stated in the applicable order form or other written agreement.
You authorize us and our payment processor, currently Stripe, to store your payment method and charge it on each billing date, upon renewal, and for any other amounts you authorize. Paid subscriptions renew automatically for successive terms equal to the original subscription term unless canceled before the next renewal date. You may cancel through the billing controls we make available in the Service or by contacting support@scantonomous.ai. Unless otherwise stated in writing, cancellation takes effect at the end of the then-current paid term, and we do not provide prorated refunds or credits for unused time.
Fees are non-refundable except as required by law or as expressly stated in an order form or other written agreement. We may issue refunds, credits, or discounts in our discretion, but doing so does not obligate us to do so in the future. If your payment fails or your account becomes past due, we may provide notice and a reasonable opportunity, typically at least 5 business days, to update your payment method before suspending or downgrading access to paid features, unless immediate action is reasonably necessary to prevent fraud, security risk, or other harm. If we suspend paid features solely for non-payment, we will use commercially reasonable efforts to keep scan results and related account data available for read-only access or retrieval through the then-current features of the Service for up to 14 days after suspension, unless law, security, or fraud concerns require shorter access. We may change fees or plan features on a prospective basis by giving at least 30 days’ notice before the change takes effect.
Unless otherwise stated, fees exclude taxes, duties, levies, or similar governmental assessments. You are responsible for those amounts, other than taxes based on our net income.
6. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any downtime or service interruptions.
7. Limitation of Liability
To the maximum extent permitted by law, Scantonomous shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. The Service is provided “as is” without warranties of any kind. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
8. Export Controls and Sanctions
The Service is subject to United States export-control and economic sanctions laws, including the Export Administration Regulations (“EAR”) and regulations administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”). You may not access, use, export, re-export, transfer, or otherwise make the Service available in violation of those laws or any other applicable trade laws. Without limiting the foregoing, you represent and warrant that you are not located in, organized under the laws of, ordinarily resident in, or owned or controlled by any person in a country or territory subject to comprehensive U.S. sanctions or embargoes, and that you are not identified on any U.S. government restricted-party list, including the OFAC Specially Designated Nationals and Blocked Persons List and the BIS Denied Persons List, Entity List, Unverified List, or other applicable BIS restricted-party lists.
You may not use the Service for the benefit of any sanctioned or prohibited person, end use, or destination, and you will not submit content or instruct us to perform scans in a way that would cause us, our service providers, or our payment processors to violate applicable export-control or sanctions laws. We may suspend or terminate access, refuse transactions, or require additional information if we reasonably believe doing so is necessary to comply with law or with the compliance obligations of our payment processor or infrastructure providers. You must notify us immediately if any representation or warranty in this section becomes inaccurate.
9. Termination
Either party may terminate the agreement at any time. You may delete your account at any time. We may suspend or terminate your access if you violate these Terms. Upon termination, your right to use the Service ceases immediately, except as described in Section 5 regarding any temporary read-only access or retrieval efforts we may provide after suspension solely for non-payment. Provisions that by their nature should survive termination will survive.
10. Governing Law
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of King County, Washington.
